LEASE RENEWAL STRATEGY

Why dental office renewal negotiations deserve early attention

A functioning dental office has unusually high costs of relocation: buildout, equipment installation, patient access, signage, permitting and potential business interruption. That can influence renewal leverage on both sides.

Your lease may contain an option to renew, but the contract's deadlines, conditions and prescribed notice methods determine whether that option is available. A landlord may still negotiate a voluntary extension after an option expires, but you should not assume that will happen.

Understand the renewal option before negotiating

Start with the executed lease and every amendment. Confirm the expiration date, permitted notice window, renewal term, how rent will be set, and any default or guarantee conditions. Consider whether a right of first refusal, exclusivity clause, or expansion option may affect the practice's future.

A renewal option that appears straightforward can require detailed performance. For example, a clause might require notice at least 180 days before expiration and delivered to a designated address. Another may allow notice only within a particular window. These are examples, not your contractual terms.

Five commercial issues to review

  1. Effective rent: Base rent, NNN/CAM, steps, concessions and renewal rent-setting mechanisms.
  2. Improvements: Who funds replacement flooring, signage, HVAC, equipment-related electrical work or other practice upgrades?
  3. Assignment and sale: Will the lease permit a future transition, associate buy-in or practice sale without unacceptable restrictions?
  4. Personal guarantees: Are guarantees released, reduced, or extended into a new term?
  5. Continuity: How do operating hours, parking, access, exclusives, repair obligations and construction disruptions affect patients?

Renew in place, relocate or purchase?

The economics can favor remaining in place even when a competing building quotes lower rent. Moving can introduce buildout costs, downtime, technology changes and patient attrition. Conversely, an inflexible lease, major building-system concerns or constraints on growth may justify exploring alternatives.

Compare credible proposals on a common basis. The rent and CAM estimator helps prepare the first financial questions; a full decision also requires practice-specific cash flow, buildout estimates, relocation costs and legal review.

A sensible pre-negotiation checklist

  • Locate the signed lease, exhibits and amendments.
  • Calendar option deadlines and required notice methods with an appropriate professional.
  • Obtain recent rent, tax, insurance and operating expense schedules.
  • Outline proposed space improvements and future growth needs.
  • Develop a realistic alternative location or ownership scenario before negotiating.

Questions from dental owners

Should I exercise my renewal option before requesting concessions?

That depends on the option language, deadlines and negotiation strategy. Exercising an option can have binding consequences. Review the clause with qualified legal counsel before sending a notice.

Can I negotiate CAM expenses when renewing?

Some leases permit negotiation of expense definitions, caps or audit rights. Other terms are fixed by the lease, and actual costs depend on the property's operating expense regime.

Do I need to share the entire lease online?

No. The calculators on this site require only dates and numerical assumptions entered in your browser. Do not upload sensitive documents through the tools.
